This Software Licence Agreement (“Agreement”) is between Bastion Software Solutions Ltd, a company registered in England and Wales under company number 17239067, whose registered office is at 4th Floor, Silverstream House, 45 Fitzroy Street, London W1T 6EB (“Bastion”, “we”, “us”), and the person or organisation that obtains a licence to our Software (“Licensee”, “you”).
It applies to every Bastion product. Part A applies to all products. Part B applies additionally to developer libraries (SDKs). Part C applies additionally to applications.
By installing, activating or using the Software you agree to this Agreement. If you do not agree, do not install, activate or use the Software. If you accept on behalf of an organisation, you confirm you have authority to bind it.
Part A — Terms for all products
A1. Definitions
- “Software” — the Bastion product identified in your order or trial registration, including its executables, assemblies, packages, samples, documentation and any Updates supplied to you.
- “Developer Library” — Software described on our website as an SDK, library or component for use by software developers (for example Bastion SftpClient, Bastion SftpServer, Bastion Mail Sdk, Bastion Mail Server Sdk, Bastion Pst Sdk and Bastion Archive Sdk).
- “Application” — Software described on our website as an application, client or server for use by end users or administrators (for example PstUnity, BastionMFT and BastionMFT Client).
- “Licence Key” — the key issued to you on purchase.
- “Activation” — the registration of a computer or installation against your Licence Key, online or through our offline activation process.
- “Maintenance Period” — twelve (12) months from the date of purchase, or any renewal period you purchase.
- “Update” — any new version, patch or fix of the Software that we release during a Maintenance Period.
- “Severe Defect” — a reproducible failure of the Software to perform materially in accordance with its documentation that prevents you from using a documented core function and for which no reasonable workaround exists.
- “Evaluation Version” — the Software supplied under a free trial.
A2. Licence
The Software is licensed, not sold. Subject to your compliance with this Agreement and payment of the applicable fees, we grant you a non-exclusive, non-transferable, perpetual licence to use the Software as set out in Part B or Part C and in your order.
A3. Restrictions
Except as expressly permitted by this Agreement or by law that cannot be excluded, you must not:
(a) copy the Software other than as reasonably necessary for use permitted by this Agreement and for back-up;
(b) decompile, disassemble, reverse engineer or attempt to derive the source code of the Software, except to the extent expressly permitted by section 50B of the Copyright, Designs and Patents Act 1988 or other applicable law;
(c) remove, bypass, disable or tamper with any licensing, activation or protection mechanism, or use a Licence Key or licence file not issued to you;
(d) share, publish or disclose your Licence Key, except as Part B expressly permits for runtime keys;
(e) rent, lease, sub-license, sell or transfer the Software, except as this Agreement expressly permits; or
(f) use the Software to develop a product that competes with the Software.
A4. Activation
A4.1 The Software may require Activation. Activation can be completed online or, for computers without internet access, through our offline activation process.
A4.2 The number of Activations permitted is stated in Part B, Part C or your order. You may deactivate a computer to free an Activation through the Bastion Licence Manager or the Software’s licence screen, or by contacting support. Deactivations are limited to three (3) per Licence Key in any rolling thirty (30) day period. We will increase this on reasonable request, for example after hardware failure.
A4.3 Activation records a one-way hash derived from the computer’s identifiers, the computer name, the IP address used and the date and time. We use this to administer your licence, prevent fraud and support you, as described in our Privacy Policy.
A4.4 The Software may contact our licence server no more than once in any thirty (30) day period to confirm licence status. If the server cannot be reached, the Software continues to operate normally.
A4.5 We may suspend or revoke a Licence Key or Activation if: payment is reversed, charged back or refunded; the key has been published or shared in breach of this Agreement; or activity on the key indicates fraud.
A5. Evaluation
A5.1 We provide a free Evaluation Version of each product so that you can confirm it meets your requirements before you purchase.
A5.2 The Evaluation Version is licensed for evaluation only, for thirty (30) days from its Activation or first use. It may carry the functional limits described on our Trial Downloads page, and it must not be used in production or distributed. We may extend the evaluation period on request.
A5.3 The Evaluation Version is provided “as is”. Clauses A8.1 and A8.2 do not apply to it.
A6. Maintenance and Updates
A6.1 During the Maintenance Period you are entitled to all Updates and to technical support by email.
A6.2 After the Maintenance Period ends, your licence continues perpetually for all versions of the Software released before the end of the Maintenance Period. Versions released after that date will not accept your Licence Key or licence files unless you renew.
A6.3 You may renew the Maintenance Period at the renewal price shown on our website at the time of renewal.
A7. Purchase, refunds and defects
A7.1 Purchases are processed by our reseller and merchant of record, FastSpring. FastSpring’s terms of sale govern the payment transaction. This Agreement governs your use of the Software.
A7.2 Because a fully functional Evaluation Version is available before purchase, all sales are final and no refunds are given, except as set out in clause A7.3 or where the law requires.
A7.3 Severe Defects. If you report a Severe Defect to support@bastionsoftwaresolutions.com within the Maintenance Period, with enough information to reproduce it, we will work with you to correct it. If we do not supply a fix or a reasonable workaround within thirty (30) days of receiving a reproducible report, and you have co-operated reasonably with us during that time, you may request a full refund of the licence fee. On refund, your Licence Key and all Activations are revoked and you must stop using the Software. For Developer Libraries, you must also stop distributing products that incorporate the Runtime Components.
A7.4 Statutory rights. If you are a consumer, nothing in this Agreement affects your statutory rights, including your rights under the Consumer Rights Act 2015 in respect of digital content, and any right to cancel that applies under the terms of sale.
A8. Warranty
A8.1 We warrant that, for ninety (90) days from purchase, the Software will perform substantially in accordance with its documentation. Your sole remedy for breach of this warranty is correction of the Software or, where clause A7.3 applies, a refund under that clause.
A8.2 We warrant that we have the right to grant the licences in this Agreement.
A8.3 Except as expressly stated in this Agreement, and to the maximum extent permitted by law, the Software is provided without any other warranty, condition or term, express or implied, including as to satisfactory quality, fitness for a particular purpose or uninterrupted or error-free operation.
A9. Liability
A9.1 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
A9.2 Subject to clause A9.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, goodwill or anticipated savings, loss or corruption of data, or any indirect or consequential loss.
A9.3 Subject to clause A9.1, our total liability arising under or in connection with this Agreement is limited to the total fees you paid for the Software in the twelve (12) months before the event giving rise to the claim.
A10. Intellectual property and third-party components
We and our licensors retain all intellectual property rights in the Software. Third-party and open-source components included in the Software are licensed under their own terms, as listed in the NOTICE file supplied with the Software. Those terms prevail over this Agreement for those components.
A11. Termination
A11.1 We may terminate this Agreement by notice if you materially breach it and, where the breach can be remedied, you fail to remedy it within thirty (30) days of our notice.
A11.2 On termination, you must stop using the Software and destroy all copies, subject to clause B5.2 for Developer Libraries.
A11.3 Clauses A3, A7.4, A8.3, A9, A10, A11, A13 and B5.2 survive termination.
A12. Export
You must comply with all applicable export control and sanctions laws in connection with the Software.
A13. General
A13.1 You may not assign or transfer this Agreement without our prior written consent. We may assign it to a successor to our business.
A13.2 This Agreement, together with your order, is the entire agreement between us about the Software and supersedes any prior terms. The terms of any purchase order you issue do not apply.
A13.3 If any provision is found invalid or unenforceable, the rest of this Agreement continues in effect.
A13.4 A failure or delay in enforcing any right is not a waiver of it.
A13.5 No one other than you and us has any right to enforce this Agreement under the Contracts (Rights of Third Parties) Act 1999.
A13.6 This Agreement and any dispute arising from it are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the United Kingdom you may also bring proceedings in your local courts.
Part B — Additional terms for Developer Libraries
B1. Additional definitions
- “Runtime Components” — the redistributable assemblies of a Developer Library listed as redistributable in its documentation. Samples, documentation, design-time tools, the Bastion Licence Manager and this Agreement are not Runtime Components.
- “Licensed Application” — a software application, service or system developed by you that incorporates the Runtime Components and adds substantial, primary functionality beyond that of the Developer Library.
- “Named Developer” — an individual employee or contractor of the Licensee who writes code that uses the Developer Library’s API.
- “Site” — a single physical business address of the Licensee at which Named Developers normally work, including developers working remotely who report to that address.
- “Runtime Key” — the digitally signed string issued to you for embedding in a Licensed Application.
B2. Licence tiers
B2.1 Single-developer licence. One (1) Named Developer may install and use the Developer Library to develop, test and build Licensed Applications. It may be activated on up to two (2) computers at any one time.
B2.2 Multi-developer licence. The number of Named Developers stated in your order may install and use the Developer Library. It may be activated on up to two (2) computers per Named Developer at any one time.
B2.3 Site licence. Any number of Named Developers at one (1) Site may install and use the Developer Library, up to the number of Activations stated in your order.
B2.4 Build servers. You may install the Developer Library on build and continuous-integration servers used solely to compile Licensed Applications. Build servers do not require Activation and do not count towards Activation limits.
B2.5 Reassignment. You may reassign a single-developer or multi-developer seat to a different Named Developer where the original Named Developer has left your organisation or permanently changed role, provided you deactivate the original Named Developer’s computers.
B3. Redistribution (royalty-free)
B3.1 You may reproduce and distribute the Runtime Components, royalty-free, solely as part of a Licensed Application, in object code form only, to any number of end users. Licensed Applications may be deployed on desktops, servers, cloud infrastructure and as software-as-a-service.
B3.2 You must:
(a) embed your Runtime Key in the Licensed Application in the manner described in the documentation;
(b) distribute the Licensed Application under terms that are at least as protective of the Developer Library as this Agreement and that prohibit reverse engineering of the Runtime Components to the extent permitted by law;
(c) not remove or alter any copyright or proprietary notices in the Runtime Components; and
(d) include any third-party notices that the documentation requires to accompany the Runtime Components.
B3.3 You may not distribute the Runtime Components:
(a) on a standalone basis, or as part of a software development kit, library, component, control, framework or tool whose primary purpose is to provide functionality the same as or similar to the Developer Library;
(b) in a manner that exposes the Developer Library’s API, or substantially its functionality, to third-party developers, including as a hosted developer service, web API or plug-in interface, without a separate written agreement with us; or
(c) together with your Licence Key, developer licence files or any means of generating Runtime Keys.
B3.4 Your end users do not require Activation and need no licence from us to run a Licensed Application.
B4. Runtime Keys
B4.1 A Runtime Key identifies you as the licensee and is valid for versions of the Developer Library released before the end of your Maintenance Period.
B4.2 If a Runtime Key is revoked under clause A4.5, versions of the Developer Library released after the revocation will not accept it. Licensed Applications already distributed to end users in good faith are not affected.
B5. Source-code escrow and termination
B5.1 Source-code escrow is available with site licences on terms agreed separately in writing.
B5.2 Your end users may continue to use copies of Licensed Applications distributed before termination, unless termination resulted from your breach of clause B3.3 or A3(c).
Part C — Additional terms for Applications
C1. Licensed units
C1.1 Each licence permits use of the Application by the number of licensed units stated in your order and on the product page. Depending on the product, a licensed unit may be a named user, a computer or a server installation.
C1.2 Unless your order states otherwise, a per-user or per-computer licence may be activated on one (1) computer at any one time, and a server licence on one (1) server installation (physical or virtual) at any one time.
C2. Use
C2.1 You may use the Application for your own internal business or personal purposes, including processing data belonging to your clients.
C2.2 You may not provide the Application itself to third parties as a hosted service or bureau service without a separate written agreement with us.
C3. Your data
The Application processes data under your control. We do not access that data. You are responsible for keeping appropriate back-ups before using the Application to modify, repair or merge files.
